Accepting the Terms

This Master Subscription Agreement ("Agreement") outlines the terms and conditions governing your use of the services provided by EziTick (hereinafter referred to as "Platform," "EziTick," "we," "us," or "our"), a WhatsApp API integration tool owned and operated by eziLINQ L.L.C.-FZ. This Agreement forms a legally binding contract between EziTick and the user ("you," "your," "Customer/Client/User"). By accessing or using our Platform and services, you accept and agree to be bound by this Agreement.

Eligibility

  1. If you are an individual using EziTick for personal or professional purposes:

    • You confirm that you are at least 18 years old or have reached the legal age of majority in your jurisdiction.
    • You have the authority to enter into this Agreement.
  2. If you are using EziTick on behalf of an organization or entity:

    • References to "you" or "your" include the organization.
    • You warrant that you have the authority to bind the entity to this Agreement.

This Agreement becomes effective upon the earliest of:

  • Access or use of the Platform or services.
  • Clicking "I Accept," "Sign Up," or a similar button indicating acceptance.

Services

EziTick offers a unified platform for businesses to manage customer interactions through the WhatsApp API. Services include but are not limited to:

  1. WhatsApp Messaging Solutions:

    • Bulk and broadcast messaging.
    • Unified chat management for teams.
  2. Automated Support:

    • 24/7 chatbot capabilities.
  3. Insights and Reports:

    • Detailed analytics on engagement and performance.
  4. WhatsApp API Features:

    • Integration with WhatsApp Business API for seamless communication.

Dependency on WhatsApp API:
Our services rely on the WhatsApp Business API. Changes, updates, or disruptions to WhatsApp's API may affect the availability or functionality of EziTick's services. We disclaim any liability for such disruptions.


User Obligations

You agree to:

  • Use EziTick in compliance with all applicable laws and WhatsApp's policies.
  • Avoid misuse of the services for illegal activities, spam, or abuse of user data.
  • Be responsible for any third-party service fees or additional charges incurred through the use of WhatsApp's API.

You must not:

  • Reverse engineer, copy, or resell any part of the Platform.
  • Use automated tools to extract data or bypass restrictions.

Subscription and Payments

To use EziTick, you must subscribe to a plan and pay the applicable fees ("Subscription Fees"). Subscription terms include:

  • Fees payable monthly, quarterly, or annually, as specified during signup.
  • Automatic renewal unless canceled in writing before the next billing cycle.
  • Subscription Fees are non-refundable, except as explicitly stated in this Agreement.

Taxes:
All prices are exclusive of applicable taxes, which you are responsible for paying.

Upgrades and Adjustments:
You may upgrade your subscription plan, with new fees applied on a pro-rated basis for the current billing cycle.


WhatsApp Policies

By using EziTick, you agree to comply with WhatsApp's policies, including:

Any violation of these policies may result in the suspension of your WhatsApp account, for which EziTick assumes no liability.


Cancellation and Refunds

  • Subscriptions renew automatically unless canceled in writing at least [X days] before the renewal date.
  • No refunds or credits for partial months or years are provided.

Intellectual Property

All intellectual property rights related to EziTick, including trademarks, software, content, and logos, belong to eziLINQ L.L.C.-FZ or its licensors. Users are granted a limited, non-exclusive, and non-transferable license to use the Platform solely for its intended purpose.


Limitation of Liability

EziTick, its affiliates, and partners are not liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of data or business interruptions caused by third-party services or system failures.

Force Majeure

We are not responsible for any delay or failure in service delivery caused by events beyond our reasonable control, including natural disasters, government actions, or technical outages.
